Overview
These Terms of Service ("Terms") govern your access to and use of the Floem platform, including its web application, APIs, and related services (collectively, the "Service"), operated by Floem Technologies Pvt. Ltd. ("Floem", "we", "us", or "our").
By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
Plain-language summary: Using Floem means you agree to these rules. If you're signing up for your company, make sure you're authorized to do so.
Acceptance of Terms
You accept these Terms by creating an account, clicking "I agree", accessing the Service, or otherwise using Floem in any way. If you do not agree to these Terms, you must not use the Service.
These Terms constitute a legally binding agreement between you (or your organization) and Floem. We reserve the right to update these Terms at any time. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
Eligibility
To use the Service, you must meet all of the following criteria:
- Be at least 18 years of age.
- Have the legal capacity to enter into a binding contract under applicable law.
- Not be located in a country subject to a government embargo or designated as a "terrorist supporting" country.
- Not be prohibited from receiving the Service under applicable laws or regulations.
- If acting on behalf of an organization, be duly authorized to bind that organization.
Floem reserves the right to refuse service to anyone at its sole discretion.
Account Registration
You must create an account to access most features of the Service. When registering, you agree to:
Provide true, current, and complete information during registration and keep it up to date.
Maintain the confidentiality of your password and restrict access to your account.
Accept responsibility for all activities that occur under your account, whether authorized by you or not.
Notify us immediately at kushal@floem.ai of any unauthorized use or security breach.
One account per user: You may not create multiple accounts, share credentials, or allow others to use your account. Team access must be managed through our official workspace invitation flow.
Permitted Use
Subject to these Terms, Floem grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes. Permitted use includes:
Creating, organizing, and tracking sales leads and customer interactions within your workspace.
Inviting team members, assigning leads, and sharing data within your authorized organization.
Connecting authorized third-party tools via our official integration and API mechanisms.
Generating, exporting, and using reports derived from your own data for internal business decisions.
Prohibited Conduct
You must not use the Service in any way that:
- Violates any applicable local, national, or international law or regulation.
- Attempts to probe, scan, or test the vulnerability of the Service or breach any security or authentication measures.
- Reverse-engineers, decompiles, disassembles, or attempts to derive source code from the Service.
- Scrapes, crawls, or uses automated tools to extract data from the Service beyond what is permitted by the API.
- Uploads or transmits malicious code, viruses, or any software designed to interrupt, damage, or limit the functionality of the Service.
- Impersonates any person or entity or misrepresents your affiliation with any person or entity.
- Uses the Service to store or process data in violation of any third party's privacy rights.
- Resells, sublicenses, or commercially exploits access to the Service without written authorization from Floem.
Violation consequences: Breach of this section may result in immediate account suspension or termination without notice, and may expose you to legal liability.
Subscription & Billing
Floem is offered on a subscription basis. By selecting a paid plan, you agree to the following billing terms:
Subscriptions are billed monthly or annually in advance, depending on the plan selected at signup.
Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date.
We may change subscription prices with 30 days' notice. Continued use after the notice period constitutes acceptance.
All fees are non-refundable except where required by law or at our sole discretion in exceptional circumstances.
Prices are exclusive of applicable taxes (GST, VAT, etc.), which will be added at checkout based on your location.
If a payment fails, we will retry and notify you. Persistent non-payment may result in service suspension.
Cancellation: You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period — you retain access until then.
Intellectual Property
The Service, including all software, design, text, graphics, logos, and trademarks, is owned by or licensed to Floem and is protected by applicable intellectual property laws. These Terms do not grant you any ownership rights in the Service.

Any unauthorized use of Floem's intellectual property is strictly prohibited and may result in legal action.
Your Data
You retain full ownership of all data, content, and information you upload or create within the Service ("Customer Data"). By using Floem, you grant us a limited, worldwide, royalty-free license to host, store, process, and display your Customer Data solely to provide and operate the Service on your behalf.
- We will not access your Customer Data except as needed to provide support, operate the Service, or as required by law.
- We will not sell, share, or use your Customer Data for our own marketing or analytics purposes.
- You are responsible for ensuring that your Customer Data complies with applicable laws and does not infringe any third-party rights.
- Upon account termination, you may export your data within 30 days. After that, we may delete it permanently.
Data portability: You can export your data at any time in CSV or JSON format from your account settings. We will never hold your data hostage.
Confidentiality
Each party agrees to keep the other's confidential information strictly confidential and not to disclose it to third parties without prior written consent, except as required by law.
"Confidential information" means any non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential. This includes, but is not limited to, business plans, customer data, pricing, technical specifications, and proprietary processes.
These confidentiality obligations survive termination of these Terms for a period of three (3) years.
Disclaimers
The Service is provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
- Floem does not warrant that the Service will be uninterrupted, error-free, or free from viruses or other harmful components.
- Floem does not warrant the accuracy, completeness, or usefulness of any information provided through the Service.
- Any reliance you place on the Service is strictly at your own risk.
Uptime: While we strive for high availability, we do not guarantee any specific uptime SLA unless separately agreed in writing as part of an enterprise contract.
Limitation of Liability
To the maximum extent permitted by applicable law, Floem and its directors, employees, partners, agents, suppliers, or affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or other intangible losses, arising out of or in connection with your use of the Service.
In no event shall Floem's total cumulative liability to you for all claims arising out of or relating to these Terms or the Service exceed the greater of (a) the total fees paid by you to Floem in the twelve (12) months immediately preceding the claim, or (b) INR 5,000.
Jurisdictional note: Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability. In such jurisdictions, the limitations above apply only to the extent permitted by law.
Indemnification
You agree to indemnify, defend, and hold harmless Floem and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of the Service in violation of these Terms.
- Your Customer Data, including any claim that your data infringes or misappropriates a third party's rights.
- Your violation of any applicable law or regulation.
- Any dispute between you and a third party arising from your use of the Service.
Termination
Either party may terminate the relationship governed by these Terms at any time:
Cancel your subscription at any time via account settings. Access continues until the end of the billing period.
We may suspend or terminate your account immediately if you materially breach these Terms or engage in prohibited conduct.
Upon termination, your right to access the Service ceases. You have 30 days to export your data before it is permanently deleted.
Sections covering IP, confidentiality, disclaimers, limitation of liability, and governing law survive termination.
Governing Law
These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka, India.
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect. The failure of Floem to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
Changes to Terms
We may revise these Terms at any time. When we make material changes, we will notify you by:
- Posting a notice within the Service at least 14 days before the changes take effect.
- Sending an email to the address associated with your account.
- Updating the "Effective" and "Last reviewed" dates at the top of this page.
Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance. If you do not agree to the new Terms, you must stop using the Service and may request account deletion.
